TERMS AND CONDITIONS: BY CLICKING THE "SUBMIT" BUTTON AND COMPLETING THE REGISTRATION PROCESS, YOU ARE STATING THAT YOU ARE ELIGIBLE FOR AN ACCOUNT IN PSMB TRAINING PORTAL AND THAT YOU AGREE TO BE BOUND BY ALL OF THESE TERMS AND CONDITIONS (“TAC”) OF THE SERVICE. You also agree to use the services consistent with these Terms and Conditions and with all applicable laws and regulations. Pembangunan Sumber Manusia Berhad (‘PSMB’) may modify these Terms and Conditions from time to time. If PSMB do, PSMB will notify you by posting the amended Terms and Conditions on the services. Please read these Terms and Conditions carefully. PSMB will not notify you before terminating your account for violation of these Terms and Conditions. If PSMB terminate your account, the decision to reinstate will be at the sole discretion of the company. A. DESCRIPTION OF SERVICES: PSMB Training Portal currently provides users (training providers and PSMB registered employers) with access to a rich collection of services including publication of training providers’ corporate profiles, trainers’ profiles, training courses, training courses schedules, training providers upcoming events, online registration of training places, advertisement, messenger and webmail services. Unless explicitly stated otherwise, any new features that augment or enhance the current service, including the release of new services properties, shall be subject to the TAC. You must totally understand and agree that the service is provided “AS-IS” and “AS AVAILABLE” basis and that PSMB assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any users personalization settings, data and communications. You are responsible in obtaining access to the services and that access may also involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees and all equipment necessary to access the services. B. RULES FOR USING THE SERVICES You are solely responsible for the content you make available through these services. You are not permitted to transmit content on the services that (a) infringe on any third party's intellectual property or copyright or proprietary rights, or rights of publicity or privacy; (b) violate any law, statute, ordinance or regulation; (c) are defamatory, trade libelous, threatening, abusive, slander, pornographic or obscene; (d) contain viruses or other similar harmful or deleterious programming routines; or (e) contain links to any sites that include any of that kind of contents. You also agree to (a) provide true, accurate, current and complete information about yourself as prompted by the service’s registration form; (b) provide true, accurate, current and complete information about your content where applicable in accordance to the approval given by PSMB earlier (on the approved PROLUS, PERLA and/or SBL-KHAS training programmes and/or other terms and conditions on other PSMB schemes) as prompted by the services template; and (c) maintain and promptly update your content to keep it true, accurate, current and complete. If you provide information that is untrue, inaccurate, not current or incomplete, or PSMB has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, PSMB has the right to suspend or terminate your account and bar you from participating in any and all current or future use of the services (or any portion thereof). You agree and understand that PSMB shall never be held responsible for the accuracy, reliability, completeness, or timeliness of any information provided by you. C. OUR PRIVACY POLICY PSMB considers your registration data and the contents of the services provided to be private. PSMB will not intentionally monitor or disclose any of your content or registration data unless it is necessary to do so for the following purposes; (i) to enforce Terms and Conditions of the HRD Portal to abide any legal requirements, (ii) to defend the company in any action or to protect our property. Additionally, you must also agree to respect the privacy and confidentiality of others. Since privacy is a function of your password, PSMB encourages you to keep your password confidential at all times and not to share it with anyone. D. MEMBER ACCOUNT, PASSWORD AND SECURITY You will receive a password and an account designation upon completing the service's registration process. You are responsible to maintain the confidentiality of the password and account, and are fully responsible for all activities under your password or account. You shall agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. PSMB shall not be held liable for any losses or damages arising from your failure to comply with this instruction. E. ABOUT THE SERVICES 1. PAYMENT. Subscription to the Portal is based on yearly basis. PSMB reserves the right to change the amount of fees imposed from time to time as and when appropriate. If your account has been terminated in accordance with the cause mentioned in item (6) below, PSMB reserves the right not to refund you the whatever subscription fees that had been paid earlier, either in full or partially. 2. REGISTRATION. You shall agree to provide us with current, complete, and accurate information in the registration form. And similarly, you are required to maintain and update your registration information to keep it up to-date, complete and accurate. 3. CONTENT. You are solely responsible to provide the necessary contents representing your organization with regard to the services rendered by this Portal. You are also responsible to ensure that the contents are always correct, accurate, current and complete. PSMB should not be responsible for any loss of opportunity or any other kind of losses or damages resulting from your failure to provide the correct, accurate, current and complete information. You are not permitted to transmit contents of the services that (a) infringe any third party's intellectual property or copyright, proprietary right and rights of publicity or privacy; (b) violate any law, statute, ordinance or regulation; (c) are defamatory, trade libelous, threatening, abusive, slander, pornographic or obscene; (d) contain viruses or other similar harmful or deleterious programming routines; or (e) contain links to any sites that include any of that kind of contents. You also agree to (a) provide true, accurate, current and complete information about yourself as stated in the service registration form; (b) provide true, accurate, current and complete information about your contents where applicable in accordance with the approval given by PSMB earlier (on the approved PROLUS, PERLA and/or SBL-KHAS training programmes and/or other terms and conditions of other PSMB’s training schemes) as prompted by the services template; and (c) maintain and promptly update your contents to keep them accurate, up to-date, correct and complete. You acknowledge that PSMB will screen through the contents from time to time, and that PSMB shall have the right (but not the obligation) at its sole discretion to refuse or remove any contents that violate the TAC. You agree that you must evaluate and bear all risks associated with the use of any contents including any reliance on the accuracy, completeness or usefulness of such contents. PSMB reserves the right to terminate your account if PSMB in its opinion feels that you have failed to comply to the TAC. You agree and understand that PSMB should not be held responsible for the accuracy, reliability, completeness, or timeliness of any information provided by you. 4. WEBMAIL STORAGE. You will be given free access to webmail service when you subscribe to this Portal. Each webmail mailbox will include a maximum of twenty (20) megabytes of free email storage. PSMB reserves the right to increase or decrease the size allotted as and when deemed appropriate. You shall agree not to use the service to upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail”, “spam”, “chain letters, “pyramid schemes”, or any other form of solicitations. If you fail to comply to the TAC, PSMB reserves the right to terminate your account or takes legal proceedings or any other appropriate remedial actions. 5. APPLICATION FOR HRD GRANT. You agree and understand that PSMB are not in any way involved in the process of confirming training places between training providers and employers. You totally agree and understand that you are responsible to forward applications for the approval of HRD training grant via regular means, for example through the SBL-Online service or manual submission to PSMB office. You also agree and understand that PSMB has not given an automatic approval on any or all training places confirmed through the use of this Portal. 6. TERMINATION. You agree that PSMB may, under certain circumstances and without prior notice, immediately terminate your account, any associated email address and access to the services. The grounds for such termination shall include, but not be limited to: (a) breaches or violations of the TAC or other associated agreements or guidelines, (b) the requirement of the law as requested by the relevant government agencies, (c) by your own request, (d) discontinuance or material modification to the service (or any part thereof), (e) unexpected technical or security issues or problems, and (f) extended period of inactivity. Termination of your PSMB Training Portal’s account includes (a) removal of access to all offerings within the service, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring use of the service. In addition, you shall agree that all terminations for any reasons whatsoever shall be at PSMB’s sole discretion and that PSMB shall not be liable to you or any third-party for any termination of your account, any associated email address, or access to the service. 7. LINK. The service may provide, link to other World Wide Web sites or resources. Because PSMB has no control over such sites and resources, you must acknowledge and agree that PSMB is not responsible for the availability of such external sites and resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that PSMB shall not be responsible for liable, directly or indirectly, for any damages or losses caused or alleged to be caused by or in connection with use of reliance on any such contents, goods or services available on or through any such sites or resources. F. OTHER PROVISIONS 1. PROPRIETARY RIGHTS. PSMB or our partners or advertisers may provide you with content such as text, software, music, sound, photographs, graphics, video or other material contained in sponsored advertisements or information. This material may be protected by copyrights, trademarks, or other intellectual property rights and laws. You may use this material only as expressly authorized by us or our partners or advertisers and you may not copy, transmit or create derivative works of such material without expressed authorization. 2. INDEMNIFICATION. You agree to defend, indemnify and hold us, our parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand or damage, including reasonable attorneys' fees, caused by or arising out of claims made against us based on the use of your account. 3. SURVIVAL OF TERMS AND CONDITIONS. You must adhere to these Terms and Conditions for so long as you are using the services. Either you or PSMB may terminate your account at any time, with or without cause. The following provisions of these Terms and Conditions will survive any termination: Rules for Using the services, Our Privacy Policy and Other Provisions. 4. DISCLAIMER OF WARRANTIES. YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PSMB MAY CHANGE THE FEATURES OR FUNCTIONALITY OF THE SERVICES AT ANY TIME, AT OUR SOLE DISCRETION. PSMB EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. PSMB MAKES NO WARRANTY THAT THE SERVICES WILL SUFFICE TO YOUR REQUIREMENTS, OR THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DO PSMB MAKES ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED THROUGH THE SERVICES OR THAT DEFECTS IN THE SOFTWARE WILL BE RECTIFIED. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLEY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEMS OR LOSS OF DATA CONSEQUENT TO THE DOWNLOADING OF SUCH MATERIAL AND/OR DATA. PSMB ASSURES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SERVICES OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SERVICES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, WHICH YOU OBTAIN FROM US OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. 5. LIMITATION OF LIABILITY. PSMB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL , CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF PSMB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (v) ANY OTHER MATTER RELATING TO THE SERVICE. LAST BUT NOT LEAST YOU ALSO AGREE THAT YOUR SOLE REMEDY UNDER THE TERMS AND CONDITIONS OF THIS AGREEMENT IS TO DETERMINE THE CONTINUATION OF YOUR ACCOUNT WITH THE PORTAL. ------- END --------
